Actic has a remuneration committee that shall prepare matters concerning remuneration principles, remuneration and other employment terms for the CEO and the executive management.
Guidelines for remuneration to the CEO and other executive management
The annual shareholders’ meeting resolves on guidelines which shall apply in relation to remuneration to the CEO and the other members of the executive management.
Current employment agreements for the CEO and other executive management
Decisions as to the current remuneration levels and other conditions for employment for the CEO and the other members of the executive management have been resolved by the board of directors.
Agreements concerning pensions shall, when possible, be based on fixed premiums and must be in accordance with the levels, practice and collective bargaining agreements applicable in the country where the relevant member of the executive management is employed. Members of the executive management domiciled in Sweden and their employers are entitled to a mutual notice period of six months. The CEO is entitled to receive a severance pay equivalent to ten months’ salary on top of the salary set out above during the period of notice when notice is given by the company. In addition to the fixed remuneration, the members of the executive management are entitled to a variable remuneration with a cap of three to six months’ salary.
The Head of Investor Relations is employed as a consultant and is not entitled to receive any remuneration or benefits other than the monthly remuneration. The agreement was valid to April 2018 and thereafter runs until further notice with a mutual notice period of two months.
The table below presents an overview of remuneration to the CEO and other members of executive management for the 2018 financial year. Other executive management consists of 5 persons and the entry variable compensation includes consulting fees for 1 person. Christer Zaar was the CEO until 2018-11-30 and Anders Carlbark is the CEO since 2018-12-01.
